Terms of Use

1. Eligibility

You must be at least 13 years old to use the Service. By using the Service, you represent and warrant that you meet this age requirement. If you are under the age of majority in your jurisdiction, you must have the consent of a parent or legal guardian to use the Service.

2. Account and Access

Certain features of the Service may require you to create an account or sign in. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account.

3. License to Use the Service

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to download, install, and use the Service on a device that you own or control, for your personal, non-commercial purposes.

You may not:

• Copy, modify, distribute, or create derivative works based on the Service.
• Reverse engineer, decompile, or disassemble any part of the Service.
• Rent, lease, lend, sell, or sublicense access to the Service.
• Use the Service for any unlawful or unauthorized purpose.
• Interfere with or disrupt the integrity or performance of the Service.
• Attempt to gain unauthorized access to any systems or networks connected to the Service.

4. User Content

The Service allows you to upload, submit, and process photos and other content ("User Content"). You retain all ownership rights in your User Content. By submitting User Content to the Service, you grant us a limited, worldwide, non-exclusive, royalty-free license to use, process, and store your User Content solely for the purpose of providing and improving the Service.

You represent and warrant that:

• You own or have the necessary rights to your User Content.
• Your User Content does not infringe the intellectual property or privacy rights of any third party.
• Your User Content does not contain illegal, harmful, abusive, or objectionable material.

We reserve the right to remove any User Content that violates these Terms or that we find objectionable, without prior notice.

5. AI-Generated Content

The Service uses artificial intelligence to process and generate images based on your User Content. AI-generated outputs may vary and are provided on an "as is" basis. We do not guarantee the accuracy, quality, or suitability of any AI-generated content for a particular purpose.

You are solely responsible for how you use any AI-generated content, including ensuring it does not violate applicable laws, third-party rights, or platform guidelines where you may share it.

6. Subscriptions and Payments

The Service offers subscription plans and in-app purchases that provide access to premium features and virtual coins. All payments are processed through Apple's App Store and are subject to Apple's terms and conditions.

• Subscription fees are charged at the beginning of each billing period (weekly, monthly, or annually, depending on the plan selected).
• Subscriptions automatically renew unless canceled at least 24 hours before the end of the current billing period.
• You can manage and cancel your subscription through your Apple ID account settings.
• Virtual coins purchased within the app are non-refundable and have no monetary value outside the Service.

Prices are subject to change. We will notify you of any price changes in advance. Continued use of the Service after a price change constitutes acceptance of the new pricing.

7. Free Trials

We may offer free trial periods for subscription plans. If you do not cancel before the trial ends, your subscription will automatically convert to a paid subscription, and your payment method will be charged the applicable subscription fee. Free trial eligibility is determined by Apple and may be limited to one trial per user.

8. Refunds

All purchases, including subscriptions and virtual coins, are processed through Apple's App Store. Refund requests are handled exclusively by Apple in accordance with their refund policies. To request a refund, visit reportaproblem.apple.com or contact Apple Support directly.

We do not have the ability to issue refunds for App Store purchases. Virtual coins that have already been spent cannot be refunded or restored.

9. Intellectual Property

The Service, including its design, features, code, graphics, AI models, and all related intellectual property, is owned by Etora AI and protected by applicable copyright, trademark, and other intellectual property laws. Nothing in these Terms grants you any right to use our trademarks, logos, or brand elements without our prior written consent.

10. Prohibited Conduct

You agree not to use the Service to:

• Generate, upload, or distribute content that is illegal, harmful, threatening, abusive, defamatory, or obscene.
• Create content that infringes any third-party intellectual property or privacy rights.
• Generate deepfakes or deceptive imagery intended to mislead, harass, or harm others.
• Use automated tools, bots, or scrapers to access or interact with the Service.
• Attempt to circumvent any security measures, access controls, or usage limits.
• Transmit viruses, malware, or any other harmful code.
• Use the Service in any manner that could damage, disable, or impair its operation.

We reserve the right to suspend or terminate your access to the Service at any time if you engage in prohibited conduct, without prior notice or liability.

11. Disclaimer of Warranties

The Service is provided on an "AS IS" and "AS AVAILABLE" basis, without warranties of any kind, either express or implied. To the fullest extent permitted by applicable law, we disclaim all warranties, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

We do not warrant that the Service will be uninterrupted, error-free, secure, or free of viruses or other harmful components. Your use of the Service is at your sole risk.

12. Limitation of Liability

To the maximum extent permitted by applicable law, in no event shall Etora AI, its affiliates, officers, directors, employees, or agents be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, goodwill, or other intangible losses, resulting from:

• Your access to or use of (or inability to access or use) the Service.
• Any conduct or content of any third party on the Service.
• Any User Content or AI-generated content obtained from the Service.
• Unauthorized access, use, or alteration of your data or content.

Our total aggregate liability arising out of or relating to these Terms shall not exceed the amount you have paid us in the six (6) months preceding the event giving rise to the claim, or fifty US dollars ($50), whichever is greater.

13. Indemnification

You agree to defend, indemnify, and hold harmless Etora AI and its affiliates, officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising out of or related to your use of the Service, your violation of these Terms, or your infringement of any third-party rights.

14. Termination

We may suspend or terminate your access to the Service at any time, with or without cause, and with or without notice. Upon termination, your license to use the Service will immediately cease. You may also terminate your use of the Service at any time by deleting the app and, if applicable, canceling your subscription through your Apple ID account settings.

Sections relating to intellectual property, disclaimers, limitation of liability, indemnification, and governing law shall survive any termination of these Terms.

15. Changes to These Terms

We reserve the right to modify these Terms at any time. When we make changes, we will update the "Effective date" at the top of this page. Your continued use of the Service after any changes constitutes your acceptance of the updated Terms. We encourage you to review these Terms periodically.

16. Governing Law

These Terms shall be governed by and construed in accordance with applicable laws, without regard to conflict of law principles. Any disputes arising from these Terms or the Service shall be resolved through good-faith negotiation. If a resolution cannot be reached, disputes shall be submitted to the competent courts of the applicable jurisdiction.

17. Apple App Store Terms

The following terms apply when you download the Service from Apple's App Store. These terms are in addition to the rest of these Terms:

• These Terms are between you and Etora AI only, not with Apple. Etora AI is solely responsible for the Service and its content.
• Apple has no obligation to provide any maintenance or support services for the Service.
• In the event the Service fails to conform to any applicable warranty, you may notify Apple for a refund of the purchase price (if any). Apple has no other warranty obligation with respect to the Service.
• Apple is not responsible for addressing any claims by you or a third party relating to the Service, including product liability claims, regulatory compliance claims, and intellectual property infringement claims.
• Apple and its subsidiaries are third-party beneficiaries of these Terms and, upon your acceptance, will have the right to enforce these Terms against you.
• You must comply with any applicable third-party terms when using the Service (e.g., your wireless data service agreement).

18. Severability

If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such provision shall be modified to the minimum extent necessary to make it valid and enforceable, or if modification is not possible, shall be severed from these Terms. The remaining provisions shall continue in full force and effect.

19. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Etora AI regarding the use of the Service. These Terms supersede any prior agreements or understandings, whether written or oral, relating to the subject matter herein.
